Otsuka’s approach to product quality extends beyond safety and security in manufacturing. Striving also to enhance the quality of its social initiatives, the Group is focused on a broad range of activities, from information transparency and disclosure to collaboration with business partners, respect for local communities, and ensuring compliance with regulations.

The Otsuka Group has maintained an organization and created a corporate climate which enable all employees to behave with extremely high ethical standards, including compliance with laws, regulations, and bioethics.

Establishing a Global Code of Business Ethics and a Global Anti-Corruption Policy

In order to promote and achieve Group-wide compliance under the banner of its corporate philosophy , the Otsuka Group established the Otsuka Group Global Code of Business Ethics. The commitment to this Code of Conduct is publicly posted on its website as a message from President, Representative Director, and CEO Tatsuo Higuchi.

At the same time, the Group established the Otsuka Group Global Anti-Corruption Policy which delineates the Group’s approach to preventing corruption at all of its sites worldwide and promotes its business based on the highest standards of ethical conduct.

Otsuka Pharmaceutical: Asia and Middle East Compliance Officer Meeting

Otsuka Group companies formulate their own individual programs to promote compliance based on the Otsuka Group Global Code of Business Ethics. The Group companies that handle pharmaceuticals follow the Prescription Drug Promotion Code, which is a code of behavior for healthcare professionals, and have formulated their own Code of Practice. The Otsuka Group works to forge relationships of mutual trust with medical practitioners, as well as with all of its stakeholders, to foster appropriate collaboration on compliance issues. As the social responsibility to clearly specify the relationship between pharmaceutical companies and healthcare-related organizations is required, it is striving to ensure adherence to standards in order to fulfill its responsibility as a pharmaceutical company and ensure the practice of proper medical care based on ethics and a patient-centered commitment.

The Group companies implement a variety of initiatives designed to incorporate compliance as an integral part of the corporate culture. In 2015, Otsuka Pharmaceutical held a Compliance Forum for Branch Leaders of the Pharmaceutical Business Division to engage with managers on the topics of power harassment and sexual harassment. With group discussion of case studies and a survey of individual participantsʼ understanding of harassment, the forum focused on building a workplace without harassment by sharing basic information and perspectives. For the first time, the company has appointed compliance officers in the Middle East, developing compliance regulations and conducting training on this subject in this region, as well.

Since 2014, Taiho Pharmaceutical has issued a twice-monthly compliance newsletter, which addresses current topics and provides information on in-house training sessions. The company also conducts regular compliance training sessions at worldwide subsidiaries and works to raise compliance awareness at the company and its
subsidiaries through regular training sessions at the research center and other locations.

EN Otsuka Pharmaceutical conducts an annual compliance survey of all its employees. The aggregate results of the survey are shared with employees in a compliance training session held each year. In fiscal 2015, the company held the compliance training as part of a larger program addressing global anti-corruption policy, information security training, cases of harmful effects of a medicine, and cases of violations of standard operating procedures (SOP).

Since being listed on the Tokyo Stock Exchange in December 2010, Otsuka Holdings and its Group companies have conducted training on insider trading laws and regulations in compliance training sessions held each year. This training is designed to promote the understanding of the contents of these laws and regulations and the importance of rigorous information management to all employees.

Otsuka Pharmaceutical Factory: Ethics Forum

Otsuka Pharmaceutical Factory has established and implemented the Otsuka Pharmaceutical Factory Compliance Program, a set of concrete guidelines based on the Otsuka Pharmaceutical Factory Code of Conduct. To ensure full compliance, the company carries out regular audits and monitors the permeation and entrenchment of corporate ethics. These are improved upon on an ongoing basis through regular reviews, and thus the company ensures that all relevant rules and regulations are adhered to meticulously and that corporate ethics are maintained.

An ethics forum is held twice a year for board members, operating officers, directors of each division/department, and Compliance Task Force members. The importance of compliance is stressed during training sessions for new recruits, management courses, and many other forums. Information is put on the company website, an e-mail newsletter with the latest relevant information is regularly sent out to staff, and small training sessions based on these efoorts are held in all divisions to ensure that each employee will have a thorough knowledge of compliance.

Otsuka Techno has in place a systematic compliance program designed to ensure thorough understanding of laws inside and outside Japan related to compliance and corporate ethics. In order to promote its compliance program, the company has established and operated a compliance subcommittee as a channel to hear suggestions, requests, and opinions from employees.

This feedback helps facilitate communication between management and employees, ensures that everyone at the company is on the same page, and helps to resolve management-employee issues.

Once every three months, representatives from each department meet at the Naruto or Wajiki site for a meeting to hear suggestions, requests, and opinions from employees. In 2015, the company continued the employee training sessions on fraud prevention, which were first introduced in 2013.

Enhancing Whistleblowing System

The Corporate Governance Code calls for establishing a whistleblowing system that is independent from management and overseeing the operational status of the system by the management. This independence and oversight is extremely important for a whistleblowing system to function in the quick detection of illegal and inappropriate conduct and/or information disclosure. Otsuka Holdings reviewed its system and additionally established a point of contact at two external law firms. Major Otsuka Group companies have also established independent external points of contact so that an internal whistleblower is able to utilize the system without worry. Full-time Otsuka employees, as well as contracted and temporary employees, are able to utilize this system. The identity of individuals who file reports and the information received are handled and protected with the strictest confidentiality to prevent these individuals from any disadvantageous treatment.
